Anthropic Files for IPO With Proposed Nasdaq Listing
Anthropic, PBC has proposed an initial public offering of its Class A common stock, submitting a public Form S-1 to the U.S. Securities and Exchange Commission on October 26, 2026. According to the preliminary filing, the company plans a listing on the Nasdaq Global Select Market using ANT as its trading symbol.
Neither the number of shares in the offering nor a price range is specified in the filing. The preliminary prospectus states that sales cannot begin before the registration statement takes effect. According to AP, the offering’s final price and valuation had not been set.
The filing describes a proposed governance arrangement in which board elections and voting on most shareholder matters would involve different share classes. A separate Long-Term Benefit Trust, through its Class T stock, would elect most board members. Founder LLC would hold a single Class F share carrying 50.1% of the voting power on most matters submitted to shareholders.
In its financial disclosures, Anthropic lists revenue for all of 2025 at $4.585 billion. For the six-month period ended June 30, 2026, the reported figure was $16.286 billion, against $1.163 billion in the corresponding 2025 period. The filing also records more than 11,900 customers each accounting for at least $100,000 of revenue over the trailing 12 months. The comparable customer count a year earlier exceeded 950.
Operating results differed across the periods disclosed: the S-1 records a $693 million operating loss for the first half of 2026, while second-quarter operating income totaled $1.0 billion on revenue of $11.6 billion.
For the same six-month period, the net loss totaled $80.748 billion, according to the S-1. Of that loss, the filing assigns $72.388 billion to fair-value changes involving SAFEs, convertible notes and derivative liabilities.
As of June 30, 2026, Anthropic’s holdings of cash and cash equivalents, together with short-term investments, totaled $131.651 billion, according to the filing. Its breakdown puts cash at approximately $112.4 billion and short-term investments at about $19.3 billion.
The S-1 also documents private financing during the second quarter of 2026. Anthropic’s Series H round generated gross proceeds totaling $65.2 billion, with each preferred share priced at $589.0095.
