Hexagon Completes Acquisition of Waygate Technologies

Waygate Technologies’ sale by Baker Hughes to Hexagon was completed on November 2, 2026, according to Baker Hughes. Hexagon separately confirmed completion of the acquisition, which brings Waygate’s inspection businesses into its Manufacturing Intelligence Business Area.

The portfolios transferred include imaging and radiography, ultrasound and remote visual inspection, Baker Hughes said. The company stated that the transaction also included Waygate’s intellectual property and other assets, together with its business footprint and resources.

In its April 13, 2026 announcement, Hexagon described applications for those inspection technologies. Remote visual inspection allows aircraft jet engines to be examined without taking them apart, according to the company. It also described radiography and computed tomography, or CT, as methods for inspecting the inside of parts and detecting defects.

Baker Hughes said the cash-only transaction had a value of about $1.45 billion, subject to customary adjustments at closing. Hexagon stated an enterprise value of roughly $1.45 billion, calculated on a basis excluding cash and debt.

According to Hexagon, Waygate was included in its consolidated business from November 1, 2026, and would operate within Manufacturing Intelligence. Hexagon put Waygate’s workforce at about 1,500 employees spread across 25 locations and its revenue for fiscal 2025 at approximately $630 million.

Hexagon said the purchase adds non-destructive testing and maintenance, repair and operations, known as MRO, to the activities of its Manufacturing Intelligence business. The company described the combination of Waygate’s CT equipment, Hexagon’s Volume Graphics software and its metrology portfolio as an offering covering inspection and quality from end to end.

The agreement to sell Waygate to Hexagon was announced by Baker Hughes on April 13, 2026. The November closing confirmation establishes the transaction’s completed status, separate from the November 1 date Hexagon gave for consolidating the business.
